1.0 DEFINITIONS
1.1 The following terms shall have the following meanings:
1.2 ’Accommodation’ or the ‘Property’ or ‘the Creative Centre’: refers to the property provided by Sarl Le Cirque Des Joncailles on behalf of Genco, in its French Creative Centre as stated in the Reservation Form.
1.3 ’Commencement Date’: the start date of a Reservation as stated in the Reservation Form.
1.4 ’Contract’: The confirmed reservation in accordance with the detailed provisions as contained in the Reservation Form and confirmed in writing by Genco.
1.5 ’Customer’: the person or persons making a reservation as named in the Reservation Form or all named on the booking or making the trip.
1.6 ’Expiry Date’: The expiry date of a reservation as stated in the Reservation Form or such later date as the Parties may from time to time agree in writing.
1.7 ’Company’: the limited company trading as Generating Company Ltd, 20 Rivington Street, London, EC2A 3DU. Contact number is 020 7093 3204. Fax number is 020 7987 9845.
1.8 ’Manager’: the person appointed by Genco to act as Manager.
1.9 ’Parties’: The Customer and Genco whose particulars are as stated in the completed Reservation Form.
1.10 ’N.D.R.’ – ’Non Deposit Reservation ’: The detailed particulars of a reservation made by the Customer with Genco which are re contained within the completion and return the Reservation Form to Genco.
1.11 ’DEPOSIT’: The deposit payable to confirm a Reservation.
1.12 ’C.O.D’ – ’CONFIRMATION OF DEPOSIT’: The written document or electronic format containing the particulars of the parties and details of the Reservation confirmed to the Customer by Genco.
1.13 ’Term’: The period starting on (and including) the Commencement Date and ending on the Expiry Date unless extended by written consent of Genco or earlier termination in accordance with these Terms and Conditions.
1.14 ’P.I.F.’ - Payment in full.
1.15 ’Genco’ is an abbreviation for Generating Company Ltd ’the Company’ – see 1.6 above.
1.16 ’Reservation Pack’ – the documents that are supplied by Genco, including Health Form, Parental Consent Form, Payment Form and Reservation Form.
2.0 ACCOMMODATION AND PRICES
2.1 The available accommodation is situated at the property provided by Sarl Le Cirque Des Joncailles
2.2 The price for each accommodation is affected by either, single, double or multiple occupancy.
2.3 Accommodation shall be ready for occupation at 2pm on the date of arrival and must be vacated by 1pm on the date of departure, unless agreed with Genco prior to arrival.
2.4 Only the Customer may occupy Genco’s property for the duration stated on the Form. This does not give the Customer right or interest in the Property except as is necessary for the exercise expressly conferred by the Reservation Form and does not exclude Genco from the legal possession of the Property.
2.5 Use of Genco’s Property facilities and accommodation is personal to the Customer as stated in the Reservation Form and shall not be capable of being assigned, shared, or otherwise disposed of and the Customer shall grant or attempt to grant any rights in it.
2.6 The Customer shall not use the Property except for permitted use and shall not use the Property for any offensive, noisy, dangerous, illegal, immoral, or improper purposes, keeping live birds or animals, exhibition or entertainment, public meeting or any sale by public auction.
2.7 The Customer shall not attach or display any advertisement, sign, flag or notice on or in the Property.
2.8 The Customer shall not do anything on the Property which may be a nuisance or annoyance to Genco tenants, guests, staff or owners or occupiers of any neighbouring property or other parts of Genco’s Property.
2.9 The Customer shall keep the property fixtures, fittings, furniture and effects in a clean and good condition (accidental fire damage and wear and tear excepted) and shall replace any articles which are destroyed or missing with articles of a similar kind and of equal value.
2.10 Genco reserves the absolute right at its sole discretion to terminate use of the Property or any of its facilities by the Customer in the event of any breach of these Terms and Conditions and upon being provided written notice to that effect the Customer will be required to forthwith vacate Genco’s property and Genco shall not accept any consequential liability damages or loss occasioned thereby.
3.0 BOOKING AND RESERVATIONS
3.1 N.D.R. may be made after an initial enquiry by email or telephone call, by returning a completed reservation form, by e-mail to the appropriate communication address to Genco as set out in Clause 1. 7 above. This booking will be held for 48 hours while you complete the reservation pack Genco will send to you.
3.2 Final reservations can only be accepted once a health form, payment form and parental consent form for those under 18 years of age has been returned to Genco along with a deposit of £100 p/p. This should take place within 48 hours of returning your reservation form.
3.3 Genco requires parental consent forms and health forms to be signed by all those intending to participate in activities at the property, therefore these items should be faxed to Genco as set out in Clause 1.7. less than 48 hours after you have received them.
3.4 In the interests of security we ask that all payment forms be faxed to Genco as set in Clause 1.7. If customers return payment forms electronically they do so at their on risk and Genco accepts no liability for breaches in customers data security.
4.1 If you are booking a place for a child for whom you are not the legal parent or guardian, please ensure you have a signed permission form from the legal parent or guardian for them to attend a holiday at the creative centre and take part in activities specified. If you do not have this form we cannot accept the booking and you will lose your place.
4.2 Where possible, on the Circus Summer Holidays, workshop groups will be divided by age. Genco does not guarantee that this will always be possible and encourages families to take part in activities together. The Circus Summer Holiday is restricted to families, whatever formation this takes, and therefore will not accept bookings for single people or individuals. The Adult Revitalise Retreat is restricted to adults over 18.
5.0 CONFIRMATION AND CONTRACT
5.1 All Reservations will be confirmed by Genco by email to a valid email address within 48 hours of the date upon which the final Reservation is made.
5.2 It is the Customer’s sole responsibility to check the C.O.D. and ensure that the particulars contained therein are correct.
5.3 Should the Reservation Confirmation contain any error or inaccuracy then the Customer must notify Genco immediately or in any event within 7 days of his receipt of the Reservation Form by telephone or fax in which event Genco at its absolute discretion may amend the Reservation Form or cancel the Reservation at no cost to the Customer.
5.4 Should the Customer fail to notify Genco within the time specified in clause 5.3 then Genco will be entitled to charge an administration fee not exceeding £10 for any change to or cancellation of the Reservation in addition to any cancellation fee applicable.
5.5 Upon expiry of the time permitted by clause 5.3 and provided that Genco has not received any notification to the contrary from the customer the Reservation Form shall form a binding enforceable Contract between the Parties.
5.6 Genco will not be responsible for any loss or damage occasioned by the Customer failing to provide notification of an error or inaccuracy in the Reservation Form or Contract within the time limit specified in clause 5. 3 above and the Customer will be liable to pay all monies due in respect of the Contract.
6.0 PAYMENT
6.1 Time for payment shall be of the essence.
6.2 Within 48 hours of the date of the N.D.R. the Customer shall pay Genco a non-refundable deposit in the sum of £100 for each person named in the C.O.D. Form, namely in respect of himself and an additional £100 for each member of their group.
6.3 On receipt of the final balance, which should be paid to Genco no later than six weeks before departure date, Genco will dispatch your final receipt and information pack along with your transfer details or driving instructions if self drive.
6.4 Last Minute Bookings – If there are less than 6 weeks before departure date full payment is required.
6.5 Payment may be made by cash at Genco London Office, or cheque made payable to Genco Ltd or a card payment can be taken over the phone within normal office hours.
6.6 If payment of either the deposit or the balance is not received by the due date, whether legally demanded or not, then Genco reserves the right to cancel the C.O.D. and retain the deposit.
6.7 In the event of cancellation for whatever reason Genco may levy and the Customer shall forthwith pay a cancellation fee for such cancellation calculated as follows for cancellation occurring:
6.7.1 6weeks or more before departure £100
6.7.2 between 4 and 6 weeks before departure 50% of the full price
6.7.3 between 11 days and 4 weeks before departure 75% of the full price and
6.7.4 between 11 days before holiday start date full price.
7.0 TRAVEL ARRANGEMENTS
7.1 It is the Customer’s sole responsibility to ensure that he/she arrives at the airport within the required time for departure check-in, together with the correct travel documentation including adequate personal and property insurance and EEC medical exception certificates.
7.2 Genco can accept no responsibility for delay or cancellation in any flight or any company used by the Customer or any member of his/her group or for any irregularity or failure in producing or providing any required documentation required for travel.
7.3 The Customer shall ensure that he/she arranges adequate timely transfers/transport for himself and all members of his group to the airport of departure and to and from local airport to the Creative Centre. Transfers maybe arranged from Bergerac and Le Buisson.
7.4 It is the Customers responsibility to get any necessary visas for entry.
7.5. Genco will not in any circumstances refund travel costs. Travel costs include all forms of transport.
8.0 AMENDMENT OR ALTERATIONS TO RESERVATIONS AND CONTRACTS
8.1 Genco reserves the right to alter any facility, accommodation or Circus activity (such as change the teacher or consolidate the class due to teachers absence, low numbers of clients or technical issues) during the Customer’s stay at the Creative Centre should circumstances beyond Genco’s control require it to do so.
8.2 In the event that the Customer should decide to downgrade their accommodation after monies (deposit/balance) have been paid, the customer will not be entitled to any refund. If the customer wishes to upgrade there are charges.
9.0 PROPERTY, INSURANCE, HEALTH AND SAFETY
9.1 HEALTH AND SAFETY
9.1.1 Genco is under a duty to ensure so far as is reasonably practicable that the health, safety and welfare of all Customers and other persons affected by Genco’s business are protected.
9.1.2 It is the duty of all Customers including members of his group to take reasonable care of their health and safety and that of other persons who may be affected by their acts or omissions and to co-operate with Genco so far as is necessary to perform or comply with any requirement imposed by any relevant safety rules regulations and law.
9.1.2a Guests are obliged to inform Genco if they are pregnant and about the stage of their pregnancy. Genco will endeavour to adapt all exercises appropriately for each individual and in no way wishes to discourage pregnant women from attending its courses; however, Guests are obliged to sign their health form accepting responsibility for actions taken.
9.1.3 The Customer must comply fully with all and any health and safety regulations from time to time introduced by the Company.
9.1.4 Use of the Company’s facilities and participating in activities promoted by the Company are undertaken entirely at the sole risk of the Customer.
9.1.5 Prior to using any of the Company’s facilities or participating in any activity promoted by the Company the customer must ensure and is solely responsible to satisfy himself that he and all members of his group are medically and physically fit and able to use such facilities or participate in activities promoted or organise by Genco. It is recommended that Customers seek a doctor’s advice if taking part in Circus Activities and physical activities for the first time, if pregnant and/or have injuries or illness.
9.1.6 The Customer is under a duty to notify the London office staff and the Manager, immediately upon arrival at the Creative Centre of any medical or physical condition or pregnancy affecting the Customer or any member of his group and Genco reserves the right at its absolute discretion to restrict or prevent the Customer or any member of his group from using any facility or participating in any activity promoted or organised by Genco without liability for any refund.
9.1.6aWhile we take pregnancy very seriously we do not want to completely prohibit pregnant persons from participating in the circus activities, we feel that it needs to be considered on an individual basis. Generally speaking, for most persons, strenuous activities involving the stomach muscles should be avoided for the first 12 weeks, as well as in the later stages of pregnancy, but if a person has a strong physical background such as: sports, dance, circus, physical theatre, then we see no reason why that person may not monitor which activities he/she chooses to do, however we would have to ask the all pregnant participants to sign a waiver taking responsibility. Genco reserves the right at all times to stop a participant from partaking in any circus activities if it is felt that the person is putting themselves or another person in danger.
9.1.7 Genco will not accept any liability for any injury to the Customer or his group in their use of Genco’s facilities or participation in activities promoted or organised by Genco and it is the sole responsibility of the Customer to ensure that he and each member of his group have adequate personal and travel insurance cover in respect of physical injury and other medical risk(s).
9.2 SECURITY AND VALUABLES
9.2.1 The Customer and each member of his group shall take proper care and use of Genco’s property, equipment and facilities and shall reimburse Genco for any loss breakage or damage occasioned by the improper or negligent use thereof prior to departure from the property.
9.2.2 The Customer may not without the prior consent of Genco remove or attempt to remove from Genco’s premises any property whatsoever belonging to Genco and the Customer shall be liable for and reimburse Genco for any loss arising as a result thereof.
9.2.3 Genco cannot accept any responsibility for loss or damage howsoever occasioned to the personal property possessions or valuables of the Customer and it is the sole responsibility of the Customer to ensure that he and each member of his group have adequate insurance cover in respect of their personal property.
10.0 COMPLAINTS
10.1 In the event of a Customer having any reasonable proper complaint regarding an N.D.R., P.I.F., C.O.D., accommodation, facility, activity or employee of Genco, then the Customer will not discuss them with any Third Party and shall notify Genco’s Manager as soon as possible, providing any available supporting evidence in respect thereof, ensuring that the Manager accurately records the complaint in Genco’s Grievance/Incident Book, a copy of the Grievance/Incident Book entry shall on request be provided to the Customer and the Manager shall use his best endeavours to deal with such complaint on behalf of the Customer as soon as reasonably possible, notify the Customer of the outcome and record the outcome and any Customer comments in the Grievance/Incident Book.
10.2 If the customer is dissatisfied with the response to the complaint by the Manger then the Customer may refer the matter in writing at any time to a Director of Genco at the address shown in clause 1.7 above, and the Director will seek to resolve the complaint to the satisfaction of the customer as soon as reasonably practicable.
11.0 FORCE MAJEURE
11.1 Genco shall not be liable for any failure in the performance of any of its obligations under any written Reservation Form or the Terms and Conditions caused by any factor or factors beyond its control. This covers natural disasters or other ’Acts of God’, war, or failure of third parties – such as suppliers and subcontractors – to perform their obligations to the contracting party.
12.0 LAW AND INTERPRETATION
12.1 Headings and clause headings contained in the C.O.D. or these Terms and Conditions are for reference purposes only and should not be incorporated in the said documents and shall not be deemed to be any indication of the meaning of any clause or sub-clause to which they relate.
12.2 Joint and Several. All agreements on the part of either of the Parties which comprises more than one person or entity shall be joint and several and the neuter singular gender throughout the Reservation Form and these Terms and Conditions all include all genders and the plural and the successors in title to the Parties.
12.3 References. References in this Contract to any clause, sub-clause, schedule or paragraph without further designation shall be construed as reference to the clause, sub-clause, schedule or paragraph of this contact so numbered.
12.4 Severance. If any provision or part thereof of the written Reservation Form or these Terms and Conditions is declared by any judicial or other competent authority to be void, voidable, illegal or otherwise unenforceable or indications to that effect are received by either of the Parties from any competent authority the Parties shall amend that provision in such manner as achieves the intention of the Parties without illegality or that may be severed from Reservation Form or these Terms and Conditions and the remaining provisions of Reservation Form and these Terms and Conditions all remain in full force and effect
12.5 Jurisdiction. All Reservations Contracts and these Terms and Conditions shall be governed by English Law and the Parties consent to the exclusive jurisdiction of the English courts in all matters regarding them.
13.0 MISCELLANEOUS
13.1 Non-assignable. All Reservations, Reservation Forms, and contracts are personal to the Customer and the Customer shall not assign or dispose of it or part with any interest in any Reservation, Reservation Form, or Contract.
13.2 Survival of terms. No term shall survive expiry or termination of the Reservation Form or Contract unless expressly provided.
13.3 Supersedes prior Terms and Conditions. These Terms and Conditions supersede any prior Terms and Conditions and any such prior agreements are cancelled as at the revision date but without prejudice to any rights which have already accrued to either of the Parties.
13.4 Change of address and contact details. Each of the Parties shall give notice to the other of the change or acquisition of any address telephone fax number or electronic mail address or similar contact particulars at the earliest possible opportunity but in any event within 48 hours of such change or acquisition.
13.5 Notices. Any notice to be served on either of the Parties shall give notice to the other of the change or acquisition of any address, telephone, fax number or electronic mail address or similar contact particulars at the earliest possible opportunity but in any event within 48 hours of such change or acquisition.
13.6 Warranty. Each of the Parties and signatories to a Reservation, Reservation Form or Contract warrants its power to enter into the Reservation, Reservation Form or Contract and the information contained therein and has obtained all the necessary permits and approvals to do so.
13.7 Photographs and Promotional Material. All and any photographs and promotional material produced by Genco shall at all times remain the exclusive property legal and equitable ownership of Genco and cannot be used or reproduced for any purpose by a customer website user or any Third Party without the prior written consent of Genco.
13.8 No employer/employee relationship or partnership. Nothing contained in the Reservation, Reservation Form or Contract shall be construed or have effect as constituting any relationship of employer and employee or partnership between Genco and Customer.
13.9 If Genco decides to offer a discount to some students, or last minute discount places, this does not affect the status of any students who have previously paid the full price, and no discount will then become due to them.
13.10 Genco accepts no liability for loss, damage, injury or illness, which may or may not be received or incurred whilst at Genco property or travelling to or from the property.
13.11 If you injure yourself in a workshop you do not get a refund for any future classes.
13.12 If you leave items behind at the property, we shall post them to you. However, we charge not only for the postage but for our time to package the item, take it to the post office, and return back to work. Time is charged at £25 per hour. Most items take around one hour round trip to deal with. Monies are to be paid before postage takes place.
14.0 WEBSITE
14.1 Genco e-mail and website address is as stated in Clause 1.7 above.
14.2 Genco retains all copyright licence rights and sole exclusive ownership of the information, photographs and material contained, displayed, provided or referred to on its website
14.3 Any user of the website acknowledges and warrants that he /she :
14.3.1 will not use any photographic material or information contained in the website for any purpose prohibited by the Terms and Conditions or for any unlawful purpose
14.3.2 will only access and use the website for his own personal non-commercial use
14.3.3 will not modify, copy, distribute, transmit, display, reproduce, publish, licence, create derivative works from, sell, or in any other way use any information, photographs, material, products, or services contained on Genco’s website
14.3.4 the user is 18 years of age or older
14.3.5 has legal authority to use the website in accordance with these Terms and Conditions
14.3.6 agrees to be entirely financially responsible for all charges fees and other sum(s) whatsoever arising from use of the website.
14.4 Genco accepts no responsibility for keeping the website up to date and will not be liable for any loss occasioned by it’s failure to do so.
14.5 The information and contents of the website constitute an invitation to treat and do not form any N.D.R. or Contract. Any N.D.R. offer made by a user of the website is subject to acceptance in writing in an N.D.R. Form issued by Genco.
14.6 Genco shall not be liable for any loss or damage to the user as a direct or indirect consequence of the user relying on any inaccurate fact or misstatement (fraudulent misrepresentation excluded) made or provided by Genco on its website.
14.7 Where the website contains links to any other website Genco does not monitor or endorse them and cannot be responsible for the contents or information provided therein and cannot accept any liability whatsoever howsoever rising in relation to any such website link.
14.8 Genco reserves the absolute right at its sole discretion to terminate any Reservation if any user or customer uses Genco website unlawfully or in contravention of these Terms and conditions.
14. 9 Genco cannot warrant that its website or any link is free from any computer virus or other malicious or impaired computer programmes and the user enters Genco’s website entirely at his/her own risk.
15.1 This page tells you the terms and conditions on which you may make use of the Genco website. It also outlines our Privacy Policy. The site is the copyright of and maintained by Genco, 20 Rivington Street, London EC2A 3DU.
15.1.1 You may use the the Genco website subject to the Terms and Conditions set out on this page. Access and use by you of this site constitutes acceptance by you of the Terms and Conditions in force at the time of use.

18.2 Genco takes the privacy seriously. Please read the following policy, in paragraph 6,7,8 to understand how we will treat your personal information when you use our site.
19.0 INFORMATION COLLECTED FOR JOBS AND CASTING
19.1 Genco will only collect personal information from artists, performers and production staff who enter information into our casting and jobs database. By entering information into this database and filling in your email address you are giving us permission to store your information and for it to accessible to Genco staff, subcontractors and clients.
19.2 If you no longer wish to be part of the Genco database you must apply in writing to the address given in 1.7. stating your name, your database login details and signed instructions to delete your entry.
19.3 Genco will only use your personal information if you log on to our casting database or if you have contacted us with regards to booking a holiday. We disclose your information to third parties only for purposes of Casting or previously agreed financial transactions. We do not sell, rent or trade your personal information to third parties for marketing purposes without your consent.
20.0 INFORMATION COLLECTED FOR HOLIDAYS
20.1 Genco will only collect the personal information of those who complete a reservation form for our holidays and events at the property in France. We may store email addresses of those who make enquiries about our Creative Centre so that we can inform you of future opportunities. Please state in your initial email if you do not wish us to do this.
20.2 Any personal information collected within your N.D.R. will not be shared with anyone outside of Genco. As part of the final booking process we will need to share some of your details with third party financial institutions in order to take payments. We will also need to share some of your health information, where appropriate, with the trainers at the Creative Centre to ensure the highest standards of safety on our courses.
20.3 If you submit a Reservation Form we will take it you have agreed to the Terms and Conditions stated and will allow this information to be shared with the carefully selected parties stated above.
21.1 We operate and are registered in accordance with current data protection legislation.
22.1 By disclosing your personal information to us using this website, telephone, email or electronic form, you consent to the collection, storage and processing of your personal information by Genco in the manner set out in this Privacy Policy.
23.1 Genco makes every effort to ensure this website is free of viruses. It is always wise for you to run an anti-virus program on all material downloaded from the Internet.
23.2 We cannot accept any responsibility for any loss, disruption or damage to your data or your computer system which may occur whilst using material derived from this website.
24.1You acknowledge that you use the Website at your entire risk and that we shall not be liable for any loss (whether direct, indirect, incidental or consequential damages) resulting from your use of the Website and the Material.
24.2 All Material is provided on an "AS IS" basis only. We cannot warrant that the Website or any Material provided will meet any of your needs or requirements or that it will be complete, error free, accurate or that it will be delivered without interruption, fault or error. 28.0 WARRANTIES
28.1 Genco is a limited company duly organised and validly existing under the laws of its incorporation and hasthe power and capacity to enter into, deliver and perform its obligations under this Agreement.
28.2 Genco warrants to provide the circus workshop as described and provide accommodation as listed.
28.3 The entry into and delivery of this Agreement by Genco and the performance of the obligations hereunder do not to the best of its knowledge and belief conflict with:
(a) any laws, regulations or orders of any court or other governmental agency or authority applicable to it, or
28.4 Genco has all expertise and experience and shall competently perform the Services in a timely, satisfactory and professional manner, to the timetable and itinerary provided at the time of booking.
28.5 Genco warrants that all equipment, particularly rigging equipment, will be in good working order and meet with all relevant European legislation applicable to lifting gear and equipment inspection.
28.6 Genco shall make available to the customer the following documentation: Health and Safety Policy (including arrangements for emergency procedures), copies of Insurance Certificates and biographies of trainers or staff. This information will be available at the London office or at the property.
28.7 The Customer warrants to adhere to the agreed payment deadlines and amounts.
28.8 The Customer warrants that he/she will respect all rules and regulations as described by Genco either in these terms and conditions or at the property.
28.9 The Customer warrants not to hold Genco liable for any loss or injury incurred during the circus workshop or during the customer’s stay at the property.
28.10 The customer warrants that they will fully indemnify Genco against any loss or damage to the property or equipment caused by them during the circus workshops or their stay at the property.
